Names & Notes: Arlington company buys VTC Thursday, June 15, 2006 Fortress America Acquisition Corp., a special purpose acquisition company in Arlington, Va., has purchased privately owned VTC LLC of Greenbelt for $38.5 million, according to a filing with the U.S. Securities and Exchange Commission.
The deal is expected to close this fall, pending approval from Fortress stockholders, according to the filing. The combined companies intend to operate under the name Fortess International Group and will seek Nasdaq listing, according to a press release.
VTC, doing business as Total Site Solutions and Vortech LLC, with 110 employees, provides information technology services. Its offices will stay open, according to company information.
Under the agreement, the owners and key employees of Total Site and Vortech will receive $19 million in cash, an $8 million, five-year convertible note and 2 million common shares of Fortress America at closing, an 18 percent ownership interest in the combined company.
Total Site and Vortech reported combined revenues of $58.6 million last year.
Laurel planning firmhires director
Morris & Ritchie Associates Inc., a land planning, engineering and architectural firm in Laurel, hired Marilee Tortorelli as an associate to direct its planning and urban design studio.
Tortorelli, an Oella resident with 21 years of experience in planning and engineering, is a member of the American Society of Landscape Architects and board member of the Home Builders Association of Maryland’s Anne Arundel chapter.
Swales tapped forspace modular bus
Swales Aerospace of Beltsville has been awarded a task order to design, build and test the Operationally Responsive Space Modular Bus, which would demonstrate the ability of a tactical satellite to collect data and provide it to the military in real time.
The work involves completing design, fabrication and integration of the bus, and providing support to the Air Force Research Laboratory for spacecraft integration and test, launch and orbit operations.
